Business Legal Review

Wilson Stoyanoff, PLC offers the Business Legal Review service as a way to help emerging companies keep their legal house in order, allowing them to focus on business operations and growth.

The ideal candidate for a Business Legal Review is an emerging company at least 3-5 years old, which has experienced good growth and is likely to have established some complex relationships with suppliers, customers and employees.

When you decide to participate in our Business Legal Review, we will ask you a series of questions about your business and to supply us with copies of key documents to review. (All documents and information we obtain from you will remain confidential at all times.)

Here are some of the steps we would take during our Business Legal Review:

  • Review your entity's organizational documents
  • Discuss your customer and supplier relationships and review key documents, including contracts, invoices, supply agreements, warranties and other material agreements
  • Examine your employment policies and review your employee handbook
  • Review material agreements concerning your fixed assets, lease agreements, service contracts and look for liens on your company's assets
  • Examine your financing arrangements including debt and equity financing agreements

After we have completed our review, we will schedule a meeting with you to go over our findings. We will deliver a report to you with our recommendations.

Here's an example of some of the benefits you will be provided in the report:

  • Summarize key dates you need to watch for on contracts, leases and entities
  • Possible opportunities for refinancing, release of collateral, renovation of contracts or removal of personal guaranties
  • Discuss your billing policies and advise you what to do when a customer gets behind in payments
  • Discuss your company's valuable intellectual property, such as trade secrets, trade or service marks
  • Discuss the importance of the relationships among the owners of your company, and the value of business succession planning

Call our office today. This could be a key step to growing your business.
